1. Introduction
1.1 These terms and conditions apply to users of the Recipe Club website ("the Site"). By using the Site, you accept and agree to these terms.
1.2 SunRice reserves the right to change these terms at any time. Please check these terms at regular intervals for any changes. Your continued use of the Site following any change to these terms will be deemed acceptance of those changes.
1.3 In these Terms and Conditions, "SunRice" means Ricegrowers Limited trading as SunRice (ABN 55 007 481 156) or its authorised representatives, and "SunRice Recipe Club Program" means those arrangements by which a member collects points from the Site and under these terms and conditions.

PRIVACY POLICY
2. Privacy
2.1 SunRice respects the privacy of every individual who visits the Site. We are committed to protecting your privacy and to complying with the National Privacy Principles. This part of these terms and conditions outlines how in the context of the Site SunRice may collect your personal information and how SunRice will use, record and protect that information.
3. Personal Data
3.1 SunRice will not collect any personally identifiable information about you (e.g., your name, address, telephone number or email address ("personal data")) through our web site unless you have provided it to us voluntarily. If you do not want your personal data collected, please do not submit it to us.
3.2 Information concerning members, including information contained in the join up form and information as to transactions resulting in points credits and redemptions will be held in an online database for SunRice ("the Recipe Club Database").
3.3 The Recipe Club Database contains the following member information:
(a) username;
(b) password;
(c) e-mail address;
(d) Foodie Points collected and redeemed; and
(e) any other personally identifiable information that you voluntarily submit to us as part of the SunRice Recipe Club Program.
4. Use of Personal Data
4.1 When you do provide us with personal data, we may use that information in the following ways, unless stated otherwise: we will use that information to contact you to provide you with the information you have requested us to provide to you; and we may store and process that information to better understand your needs and how we can improve our products and services.
4.2 The information provided by you online may be disclosed to our agents, contractors or third party service providers who provide administrative, telecommunications, computer or other services to us in connection with the operation of our business and the Site and who are under duties to SunRice to keep such information confidential and secure.
4.3 We may also provide third parties with aggregate, de-identified - but not individual - information about visitors to or users of the Site.
4.4 We do not, and do not intend to, sell, rent or market personal data about you to third parties.
5. Additional Information Collected Automatically
5.1 In some cases, we may automatically (i.e., not via registration) collect technical information when you connect to the Site that is not personally-identifiable. Examples of this type of information include the type of Internet Browser you are using, the type of computer operating system you are using and the domain name of the web site from which you linked to the Site.
6. Information Placed Automatically on Your Computer – Cookies
6.1 When you view the Site, we may store some information on your computer. This information will be in the form of a "Cookie" or similar file and can help us in many ways. For example, Cookies allow us to tailor the Site to better match your interests and preferences. With most Internet Browsers, you can erase Cookies from your computer hard drive, block all Cookies or receive a warning before a Cookie is stored. Please refer to your Browser instructions or help screen to learn more about these functions.
7. Security
7.1 We maintain strict standards and security procedures to prevent unauthorised access to your personal information and ensure correct use of information. We use encryption technology to ensure your information is protected when being sent over the Internet.
7.2 While we strive to protect your personal information, we cannot ensure the security of any information that you transmit to us over the Internet and you do so at your own risk. However, once we receive your transmission, we take all reasonable steps to ensure that your information is secure on our systems and those of our agents.
8. Your access to your information
8.1 Generally speaking, you may access and update your personal information at any time. If you wish to do so, please contact the SunRice Privacy Officer on the details in paragraph 10.1 below.
8.2 SunRice will always try to maintain accurate, complete and up-to-date information regarding individuals who contact SunRice. If you think that your personal information retained by SunRice may require changing or updating, please contact us. We will then take all reasonable steps to correct the information so that it is accurate, complete and up-to-date.
8.3 On request from you we will provide details of the personal information we hold about you. The release of information is subject to some exceptions such as information relating to existing or any anticipated legal proceedings, together with exceptions provided by the Privacy Act. Myriax reserves the right to charge a fee for providing access to your information. To protect your personal information, the request to Myriax must be in writing and can be sent by letter or facsimile to the address in paragraph 10.1 below.
9. Complaints
9.1 If you have a complaint regarding the way in which your personal information is being handled by us, please contact the SunRice Privacy Officer on the details in paragraph 10.1 below in the first instance. If we are unable to reach a satisfactory solution through negotiation, you may wish to request an independent person to investigate the complaint such as the Privacy Commissioner.

RECIPE CLUB MEMBERSHIP
11. Membership
11.1 Only individuals may be members of the Recipe Club program. Membership is free.
11.2 A person who wishes to become a member can apply in the ways provided and will be bound by these terms and conditions, as varied from time to time.
12. Access
12.1 SunRice reserves the right to deny you access to, or use of, all or part of the Site, without prior notice, if you engage in any conduct that SunRice believes, in its sole direction:
(a) violates any term or provision of these terms and conditions; or
(b) violates the rights of SunRice or third parties; or
(c) is otherwise inappropriate for continued access and use of the Site.
13. Foodie Points
13.1 Foodie Points may be earned by a member and will be allocated to his or her membership account. For more details about the ways in which members can earn points, please visit the Site.
13.2 A member who has accumulated (earned) sufficient points in his or her membership account may redeem points in the ways provided by SunRice as detailed on the Site from time to time.
13.3 Foodie Points and the rights they confer cannot be sold, transferred, assigned or otherwise dealt with. Foodie Points have no cash or monetary value.
13.4 Foodie Points allocation to members is at the full discretion of SunRice.
13.5 Redemption of the Foodie Points will only be made available to the member and at SunRice’s sole discretion.
13.6 The number of points set out for the redemption will be deducted from the points balance of the member's account.
13.7 Where necessary, redemptions will be posted or delivered, at SunRice’s option, to the current address of the member shown in Recipe Club records. SunRice is not liable for any loss, theft or damage to any award in the course of post or delivery.
13.8 All redemptions are subject to availability. SunRice is not liable for any redemption not being available for any reason whatsoever.
13.9 All redemptions are subject to such other terms, conditions and restrictions as are set out in any additional terms and conditions relating to the redemption, without limitation.
14. Changes to conditions of use
14.1 SunRice reserves the right to make any changes at any time without prior notice and at SunRice’s absolute discretion to the Site, the Recipe Club, Recipe Club membership, or to the allocation, redemption or any other aspect of the Foodie Points, even if the change has the effect of reducing or eliminating the number or value of the Foodie Points balance in any member's account. SunRice will attempt to notify members of any changes but shall not be liable in any way for failure to do so.
14.2 SunRice’s general Privacy Policy located on SunRice’s homepage at http://www.sunrice.com.au forms part of these terms and conditions, but shall prevail over these terms and conditions if they are inconsistent in any respect. SunRice will not purport to alter any aspect of the privacy policies set out in these terms and conditions, or its general Privacy Policy without giving written notification to members of the proposed changes and giving members who do not wish to be bound by the changes the opportunity to withdraw from the Recipe Club.
15. Suspension or Termination of Recipe Club Program
15.1 SunRice reserves the right to suspend or terminate the SunRice Recipe Club Program at any time without prior notice. SunRice will not be liable for the suspension or termination of the SunRice Recipe Club Program on any account whatsoever including (without limitation) for any Foodie Points balance in a member's account at the time of suspension or termination.
16. Limitation of SunRice Liability
16.1 All conditions and warranties, whether express or implied and whether arising under statute or otherwise, as to the condition, suitability, quality, fitness or safety of any goods or services supplied under the SunRice Recipe Club Program are expressly excluded to the full extent permitted by law. Any liability SunRice, its officers, directors, employees, agents, or advisers, may have to a member under statute in respect of such goods and services which cannot be excluded is limited, where permitted, to supplying, or paying the cost of supplying, the goods or services again or repairing, or paying the costs of repairing, the goods, at SunRice’s option.
16.2 Neither SunRice nor any of its officers, directors, employees, agents or advisers shall be liable for any loss or damage of any kind including without limitation, losses or damages for loss of profits, business interruption, loss of information, indirect, special, economic, punitive or consequential losses or damages arising out of the reliance on or use or inability to use the material or information available on or accessible through the Site, or any advice given or information provided by any person or entity mentioned on or accessible through the Site, even if SunRice has been advised of the likelihood of such damages.
16.3 Where the laws of any country or state in which these terms and conditions are effective implies into these terms and conditions any term, condition or warranty, and those laws avoid or prohibit provisions in a contract excluding or modifying them, then the term, condition or warranty shall be deemed to be included in these terms and conditions provided that any liability of SunRice and its officers, directors, employees agents or advisers for a breach of any such term, condition or warranty, including any economic or consequential loss which you may sustain, shall be limited to the maximum extent permitted by the law of that country or state.
17. Ownership of materials on the Site
17.1 Copyright in the material which appears on the Site (including any text, photographs or artwork) vests, subject to the provisions of the Copyright Act 1968 and any agreement to the contrary, in the author of the material, whether that be the Site content provider or some other person or organization. In most cases on the Site, copyright is vested in SunRice.
17.2 All registered or unregistered trade marks used on the Site are the property of their respective owners.
17.3 SunRice authorises you to print, copy, reproduce, download and view materials on the Site, subject to:
(a) the material being used in the manner in which it is reasonably intended to be provided for;
(b) the material being used exclusively for non-commercial personal use; and
(c) the material not being modified in any manner.
17.4 If you download material from the Site, it is licensed to you by SunRice for non-commercial, personal use only. You are expressly prohibited from licensing, selling, distributing, decompiling, reverse engineering or otherwise dealing with it.
18. Use of the Site
18.1 You must not use the Site to, and you agree not to:
(a) upload to, or distribute or publish through, the Site any inappropriate communication in any form. Inappropriate communications include, “spam”, obscene, harassing, pornographic, abusive, slanderous, defamatory, vulgar, threatening or offensive material.
(b) collect, store, post, disclose or transmit personal data about other users;
(c) post any material that you do not have a right to post (such as inside information or confidential information); or
(d) post any material that infringes the rights (including without limitation, copyright, patent, trade mark, trade secret or other proprietary rights) of any party.
18.2 By uploading materials to the Site, you grant SunRice a non-exclusive, worldwide, royalty free, perpetual licence to use, modify, reproduce, distribute publish, communicate to the public or otherwise deal with the uploaded material in any manner which SunRice deems appropriate. In addition, you agree to waive all "moral rights" in those materials, and unconditionally consent to SunRice doing any act throughout the world, in relation to such material, that would, but for this consent, infringe your “moral rights” now or at anytime subsisting in such material.
18.3 You must maintain the confidentiality of your Recipe Club username and password. You are entirely responsible for any and all actualities which occur in relation to your Foodie Points balance via the Site.
19. Information and services at the Site
19.1 SunRice updates the Site regularly, however, SunRice makes no representation as to the accuracy, currency reliability or completeness of any information on the Site. All information is provided on the basis that you undertake the responsibility for assessing it at your own risk.
19.2 SunRice, its officers, directors, employees, agents and advisers:
(a) are not responsible, or liable for, the accuracy, currency and reliability of any information appearing on the Site;
(b) to the extent permitted by law expressly disclaim any and all liability arising from the information contained in the Site including, without limitation, errors in, or omissions contained in that information;
(c) except so far as liability under any statute cannot be excluded, accept no responsibility arising in any way from errors in, or omissions from the Site, or in negligence; and
(d) accept no liability for any loss or damage suffered by any person as a result of that person, or any other person, placing any reliance on the contents of the Site.
20. Links to other Sites
20.1 One of the services that the Site provides is access to other sites on the internet via hyperlinks located on the Site ("Linked Sites"). SunRice is not responsible for the privacy practices, content, accuracy, legality, decency of material or copyright compliance of any Linked Site or services or information provided via any Linked Site.
21. Indemnity
21.1 You hereby indemnify and hold harmless SunRice, its officers, directors, employees, agents and advisers, from any and all liability, demands, third-party claims, damages, costs and losses arising from either the use or misuse of the Site by you, or in relation to your Foodie Points or your failure to comply with these terms and conditions or violation of any applicable law.
22. General
22.1 These terms and conditions constitute the entire agreement between you and SunRice with respect to the Site, and these terms and conditions replace all prior or contemporaneous understandings or agreements, written or oral, regarding the Site.
22.2 If any provision of these terms and conditions is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent possible and will be deemed deleted to the extent that it is not enforceable, and the remaining provisions of these terms and conditions shall remain in full force and effect.
22.3 The failure by SunRice to insist upon or enforce strict performance of any of these terms and conditions will not be construed as a waiver of any right or remedy of SunRice in respect of any existing or subsequent breach of these terms and conditions.
22.4 These terms and conditions, and any rights and licences granted under them, may not be transferred or assigned by you, but may be assigned by SunRice without restriction.
22.5 The laws of New South Wales, Australia governs these terms and conditions. SunRice operates the Site in Australia. Information contained in the Site may not be appropriate or available for use in other locations. If you access the Site from other locations, you do so at your own initiative and you are solely responsible for compliance with applicable local laws. You hereby consent and submit to the exclusive jurisdiction and venue of the Courts of New South Wales, Australia for any cause of action relating to or arising under these terms and conditions.
